www.superspellers.co.uk (“website”) owned and managed by Superspellers LTD (“we,” “us,” or “our”) welcomes you.
Your access to our services through our “Website” (defined below) subject to the following Terms of this agreement, which may be updated by us from time to time with or without notice to you and as per the terms provided herein. “User Account” shall mean an electronic account opened by the user with the Platform to avail services offered through the Website;

“Subscription Fee” means the subscription fee paid by School for participation in the Subscription Plan, paid directly by the School to the Website.

“Subscription Plan” shall mean the plan available on the Website through which School can avail various Services offered on the Website.
III. INTERPRETATION

All references to the singular include the plural and vice versa and the word "includes" should be construed as "without limitation".

Words importing any gender shall include all the other genders.

Reference to any statute, ordinance or other law includes all regulations and other instruments and all consolidations, amendments, re-enactments or replacements for the time being in force.

All headings, bold typing, and italics (if any) have been inserted for convenience of reference only and do not define limit or affect the meaning or interpretation of the terms of this Agreement.
IV. COMMITMENT AND SCOPE

Scope. These Terms govern your use of the Website and the Services. Except as otherwise specified, these Terms do not apply to Third-Party Products or Services, which are governed by their own terms of service.

Eligibility: Our service is not available to children above the age of 11. Our services are also not available to any users suspended or removed from the system by us for any reason.

Electronic Communication: When you use this Website or send e-mails and other electronic communications from your desktop or mobile device to us, you are communicating with us electronically. By sending, you agree to receive a reply communications from us electronically in the same format and you can keep copies of these communications for your records.
V. OUR SERVICES
At www.superspellers.co.uk, we offer a platform for the Students and Teachers to interact with each other. This website is an online education platform particularly designed for primary school children, age between 04 to 11 years.
This site provides a spelling game for the children of the primary age group. The students and teachers are required to log in on the site. students participating in the games can win badges and coins. Login page of students shows their avatars and game winnings while in the login page of the teacher, the performance of students is reviewed.
VI. MODIFICATIONS TO THE SERVICE
We reserve the right, in our discretion, to change, modify, add to, or remove portions of the Terms (collectively, “Changes”), at any time. We may notify you of changes by posting a revised version of the Terms incorporating the Changes to our Website. Your continued use of the Site following the posting of changes will mean that you accept and agree to the Changes.
VII. REGISTRATION INFORMATION
If you access this Website anonymously, you will not be required to create a user name. But, to access certain resources, you may be required to provide specific information and to create a user ID and password to establish an account.
You agree that the information you provide in connection to establishing an account is accurate and that you will keep your information up-to-date. You are responsible for the security of all of your user names, passwords, and registration information (such as unique account identifiers or historical billing information), and you are solely responsible for any use (authorized or not) of your accounts. IX. SUBSCRIPTION AND PAYMENT

Under this website, the schools shall be required to subscribe to the subscription plan available on the website to gain access to the Services provided by us;

Primary schools will sign up for a yearly subscription through the Website. An invoice will be sent to the school after the sign up is complete.

Any order for subscribing to our Subscription plan shall be between School and Superspellers LTD. The School agrees to take particular care when providing us with its details and warrant that these details are accurate and complete at the time of ordering.

The School shall pay the required subscription fee to us as per the Subscription plan available on the Website.

Onboarding form will be activated and school’s teachers will be able to access the game after the payment of the Invoice/subscription plan by the School.

Once the School purchases any subscription plan, they agree that they will be automatically charged on a yearly basis until the School cancels the subscription before the date of renewal of the subscription plan.

Any order for subscribing to any Subscription plan that you place with us is subject to acceptance by us. When you place your order online we will send you an email to confirm that we have received it.

The user can cancel the subscription of any service anytime through their account. The refund will be applicable as per the terms of the Refund and Cancellation Policy.

X. REVERSE ENGINEERING
You agree not to undertake any of the following actions:

Reverse engineer, or attempt to reverse engineer or disassemble any code or software from or on the Website or Services;

School’s Duties
School register with us must ensure that:
A Teacher warrants that he/she-
(a) is of at least 18 (eighteen) years of age;
(b) has the necessary qualifications and/or experience.

The School and teacher shall indemnify us for all claims and liabilities arising out of any use by the Teacher of the Superspellers.co.uk Website, including costs and expenses incurred

The teacher must not be in any way abusive about a Student or his nominee on the Website.
XIV. GENERAL CONDITIONS

We make material changes to these terms and conditions from time to time, we may notify you either by prominently posting a notice of such changes or via email communication.

The School already taken subscription from the superspellers.co.uk website shall be required to follow Fair Use policy as provided on the website.
Any violation of the Faire Use Policy or abuse of the Fair Use Policy will result in the following action (i) immediately terminate the website Service to School or (ii) immediately suspend School's account or website Service, provided that a prior notice of abusing Fair Use Policy has been given to such School but the abusing act continues or happens again. No refund of any membership fee or payment is allowed.
The School will be constituted as abusing the Fair Use Policy if he does the following acts:
a) sharing his superspellers.co.uk website account with any third party (including but not limited to User);
b) re-selling, assigning or transferring his account to any third party;
c) using the superspellers.co.uk website subscription for business use or any non-academic purpose;

SUPERSPELLERS LTD shall not be liable and responsible for the behavior of the users, whether on the website or outside of it.
SUPERSPELLERS LTD is not liable for direct, indirect consequential, or any other form of loss or damage that may be suffered by a user through the use of the Website superspellers.co.uk including loss of data or information or any kind of financial or physical loss or damage.

ENTIRE AGREEMENT
This Agreement constitutes the entire agreement between the parties hereto concerning the subject matter contained in this Agreement.
GOVERNING LAW AND JUDICIAL RECOURSE
The terms herein will be governed by and construed under the law of England and Wales without giving effect to any principles of conflicts of law. The courts of England and Wales shall have exclusive jurisdiction over any dispute arising from the use of the Website.
FORCE MAJEURE
We will have no liability to you, your users, or any third party for any failure us to perform its obligations under these Terms if such non-performance arises as a result of the occurrence of an event beyond the reasonable control of us, including, without limitation, an act of war or terrorism, natural disaster, failure of electricity supply, riot, civil disorder, or civil commotion or other force majeure event.
ASSIGNMENT
The Company shall have the right to assign/transfer this agreement to any third party including its holding company, subsidiaries, affiliates, associates, and group companies, without any consent of the User.
